UFO Moviez India Limited (hereinafter referred to as “UFO” or “we” or “us” or “our”, as the context requires) operates a website having url: http://cbfcedelivery.com/ (hereinafter referred to as ‘Website / Platform’).
For the purpose of this Terms of Use (“Terms”), references to Platform will include usage of our services, applications, products and content by you.
As per the prevailing law in India, the Terms are a legally binding agreement governing the relationship between you (i.e., the user) and us. Please read the Terms carefully.
Producers, distributors, other entities and persons who are desirous of applying to Central Board of Film Certification (‘CBFC’) for certification of their cinematograph films and other content are required to upload Digital Cinema Package (‘DCP’) of the cinematograph film and other content through the Website.
Prior to uploading the content it is necessary that the applicant has obtained an Application ID by registering on e-cinepramaan website / application of CBFC by providing the required information and uploading the necessary documents. If the applicant does not have an application ID, then applicant will not be able to upload the DCP using the Website.
You are required to make the payment of the prescribed fees through the payment gateway on the Website. After payment confirmation / invoice is received by you, you would be able to use our service of online transmission of your DCP to CBFC using our Website
Please note that the payment gateway services are provided by a third party service provider and we do not control the operation of the payment gateway. We also do not store any payment related information such as log-in id, passwords, credit card and debit card numbers, CVVs, OTP, UPI ids etc provided by you at the time of using the payment gateway to make the payment.
Our services are strictly limited to online transmission of the DCP uploaded by you to CBFC. We do not access or store the DCP uploaded by you.
Please note that we are only service providers for online delivery of your DCP to CBFC. We have no role in certification of your film / content which is done by CBFC.
We agree to provide you access to our Platform and its products, features, applications, services and software, in return for your commitment to comply with the Terms.
By using the Platform, you accept these Terms and agree to be bound by our Terms and acknowledge that any other agreements between us are hereby superseded with respect to the subject matter of these Terms. Please note that your usage of our Platform will also be subject to our Privacy Policy and other terms and conditions set out on the Platform and all applicable laws and regulations (the terms of which shall be deemed to have been incorporated herein by reference).
By using our Platform, you state that:
(a) you are legally capable of entering into a contract as per Indian Contract Act, 1872 or any other law applicable to you;
(b) your account has not been previously disabled for breach of our Terms or Policies; and
(c) you will comply with these Terms and all applicable laws and regulations.
(d) You have the right, title and authority to submit the content and apply to CBFC for issuance of censor certificate for such content.
If you are accessing or using the Platform on behalf of a business or entity, then (i) “you” and “your” includes you and that business or entity, (ii) you represent and warrant that you are an authorized representative of the business or entity with the authority to bind the entity to these Terms, and that you agree to these Terms on the entity’s behalf, and (iii) your business or entity is legally and financially responsible for your access or use of the Platform as well as for the access or use of your account by others affiliated with your entity, including any employees, agents or contractors.
Terms from time to time and without notice. We will also update the “Last Updated” date of these Terms, which reflects the effective date of such Terms. Your continued access or use of the Platform signifies your acceptance to these revised Terms from time to time.
CBFC shall provide you with Application ID upon your registration on e-cinepramaan portal. You must use the Application ID to access our Platform. Please ensure that you must provide accurate and up-to-date information and update this information from time to time. Please note that we do not charge any cash payment from you to grant you access to our Platform. It is important that you keep your account password confidential and that you do not disclose it to any third party. If you know or suspect that any third party knows your password or has accessed your account, you must promptly notify us at •pravin.vaje@ufomoviez.com
Please note that you will be solely responsible for the activity that occurs under your account. We reserve the right to disable your user account, and remove or disable any content you upload or share, if you have failed to comply with any of the provisions of these Terms, or if activities occur on your account which, in our sole discretion, would or might cause damage to or impair or affect the operations of our website or violate any applicable laws or regulations.
You will use the Platform in a lawful manner only for the purpose of uploading of DCP for submission to CBFC for certification of your content.
With a view to ensure that our Platform is safe, secure and in accordance with law, please ensure that you will not
1) Access or use the Platform if you are not fully able and legally competent to agree to these Terms;
2) Make unauthorized copies, modify, adapt, translate, reverse engineer, disassemble, decompile or create any derivative works of the Platform or any content included therein, including any files, tables or documentation (or any portion thereof) or determine or attempt to determine any source code, algorithms, methods or techniques embodied by the Platform or any derivative works thereof;
3) Interfere with or attempt to interfere with the proper working of the Platform, disrupt our website or any networks connected to the Platform, or bypass or attempt to bypass any measures we may use to prevent or restrict access to the Platform;
4) Use automated scripts to collect information from or otherwise interact with the Platform;
5) Impersonate any person or entity, or falsely state or otherwise misrepresent you or your affiliation with any person or entity, including giving the impression that any content you upload, post, share, transmit, distribute or otherwise make available emanates from the Platform;
6) Use or attempt to use another’s account, service or system without authorization from us, or create a false identity on the Platform;
7) Use cheats, exploits, automation, software, bots, hacks or any unauthorized third party software designed to modify or interfere with the Platform or assist in such activity.
8) Use the Platform to post, upload, transmit, distribute, store or otherwise make available in any way, files that contain viruses, Trojans, worms or other material that is malicious or technologically harmful;
9) Use the Platform to post, upload, transmit, distribute, store or otherwise make available in any way any material which does or may infringe any copyright, trade mark, trade secret or other intellectual property, proprietary or privacy rights of any other person/ entity or use the intellectual property rights including music tracks, songs etc. of a third party without proper authorization;
10) Use the Platform to post, upload, transmit, distribute, store or otherwise make available in any way any material which is defamatory of any person, obscene, offensive, pornographic, blasphemous, hateful or inflammatory, ethnically objectionable, disparaging, threatening, abusive, grossly harmful, paedophilic, false, misleading, invasive of privacy or publicity rights, impersonating, enticing /harming of minors in any way, vulgar, in an expression of bigotry or hatred based on age, gender, race, religion, caste, class, lifestyle preference, nationality or otherwise harmful, detrimental or prejudicial or relating or encouraging money laundering or gambling or otherwise unlawful in any manner whatsoever;
11) Access or use the Platform if it is illegal or not permitted under the law in your jurisdiction or not permitted under the law to agree to these Terms;
In addition to the above, please ensure that your usage of our Platform is in accordance with Privacy Policy and other terms and conditions set out on the Platform and all applicable laws and regulations.
We reserve the right of your access and / or use of the Platform. We reserve the right to forthwith terminate your access or use of the Platform and / or remove your content for violation of any provisions of these Terms.
Subject to the Terms, you are hereby granted a non-exclusive, limited, non-transferable, non-sub licensable, revocable, license to access and use the Platform only for the purpose of online submission of your DCP to CBFC for certification.
We reserve all rights and interests not expressly granted herein in, in relation to and arising out of the Platform. You acknowledge and agree that we may terminate this license at any time for a reasonable cause and / or for your non-compliance with the provisions of these Terms and / or other policies or applicable laws.
We make no representations, warranties or guarantees, whether express or implied, in respect of any services products being offered and in respect of the accuracy, or completeness or continuity of services. You acknowledge that online services are subject to inherent limitations such as internet disruption, downtime, connectivity failure etc.
If any other third party links are displayed on our Platform, then they are for your information only. You acknowledge that we have no control over the contents of those sites or resources and such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.
You undertake to indemnify us and keep indemnified us, including directors, employees, officials, agents, representatives, our subsidiaries, associates, affiliates and advisors, and including successors and assigns, whether existing or in future, from and against any legal proceedings and including but not limited to any liabilities, costs, claims, damages, losses, expenses (including attorney’s fees), compensation etc., which we may be liable for or incur or suffer in the event of you breach of these Terms and the provisions of applicable laws.
We are not liable for any delay in the performance or non-performance of any of our obligations hereunder and shall not be liable for, including and not limited to, any loss or damages caused thereby where the same is occasioned by any cause whatsoever that it beyond our control including but not limited to an act of God, war, civil disturbance, strikes, labour unrest, Governmental or parliamentary restrictions/ quarantine, change of law or any regulations, prohibitions or enactment’s of any kind, embargo, an epidemic or a pandemic, import or export regulations, exchange control regulations, accident, server outage, internet or Platform downtime or interruption.
You undertake to indemnify us and keep indemnified us, including directors, employees, officials, agents, representatives, our subsidiaries, associates, affiliates and advisors, and including successors and assigns, whether existing or in future, from and against any legal proceedings and including but not limited to any liabilities, costs, claims, damages, losses, expenses (including attorney’s fees), compensation etc., which we may be liable for or incur or suffer, arising out of (i) a breach by you or any user of your account of these Terms or arising out of a breach of your obligations, representation and warranties under these Terms (ii) breach of applicable laws by you..
The Platform, its features and services, are provided on an ‘as is’ basis and we make no warranty or representation to you with respect to them.
In addition, we do not represent or warrant to you that use of the Platform will be uninterrupted, timely, secure or free from error;
No conditions, warranties or other terms (including any implied terms as to satisfactory quality, fitness for purpose or conformance with description) apply to the Platform except to the extent that they are expressly set out in these Terms. Please note that we reserve the right to change, suspend, withdraw or restrict the availability of all or any part of our Platform for business and operational reasons at any time, without notice.
Neither us nor any of our subsidiaries, associates and affiliates, or any of their respective officers, directors, employees, representatives, advisors and agents, including successors and assigns, will be liable to you for (a) any loss of profit (whether incurred directly or indirectly); (b) any loss of goodwill or reputation; (c) any loss of opportunity; (d) any loss of data suffered by you; or (e) any special, indirect or consequential losses which may be incurred by you.
Without prejudice to the aforesaid, you agree that the maximum amount payable by us under any circumstances shall not exceed the fees paid by you for availing the services on the Platform (all inclusive).
You agree that these limitations on our liability to you shall apply whether or not we have been advised of or should have been aware of the possibility of any such losses arising.
You are responsible for any data charges that may apply to your use of our Platform. In case of any doubt, please consult your service provider prior to using the Platform.
These Terms shall be governed by and construed in accordance with the laws of India without any reference to conflict of laws. You agree that the courts in Mumbai shall have sole and exclusive jurisdiction over any action at law or in equity arising from your use of the Platform.
These Terms and policies on the Platform constitute the whole legal agreement and understanding between you and us and govern your use of the Platform and completely replace any prior agreements between you and us in relation to the Platform.
If any court of law, having jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms, and the remaining provisions of the Terms will continue to be valid and enforceable.
